The National Development and Reform Commission and the Ministry of Commerce jointly released the updated Market Access Negative List for 2022 (《市场准入负面清单（2022年版）》) on March 28, opening more industries to Chinese and foreign investment. It now comprises 117 items, down from 123 in the 2020 version, 131 in 2019, and 151 in 2018.

Continuously shortening the negative list highlights China’s ongoing efforts to expand market access (放宽市场准入), which will help give full play to the decisive role of the market in the allocation of resources (让市场在资源配置中起决定性作用).

The list is compiled in three layers, the sectors, items, and articles. While most other open sources will only go as far as highlighting the differences in items between the 2022 and 2020 versions, this newsletter will go even more granular by offering an exclusive translation of the articles in the list, which your host believes can best help you grasp the most detailed policy changes.

I What is the Market Access Negative List?

The system of Market Access Negative List (hereafter referred to as “the List”) was officially introduced in 2015. In the List, the State Council sets out the sectors, fields, and businesses, among others, where investments and operations are prohibited or restricted. The various market participants may all legally gain equal access to those not listed. (国务院以清单方式明确列出禁止和限制投资经营的行业、领域、业务等，清单以外的，各类市场主体皆可依法平等进入). The National Development and Reform Commission (国家发展改革委员会) and the Ministry of Commerce (商务部) are the leading authorities responsible for the formulation of the List.

The system can be summarized into “one list”, “two categories”, “three access approaches”, and “connection with four other lists” (“一张清单、两个类别、三种准入方式、四个衔接”):

“One list” refers to the full coverage and uniform system. On the one hand, the List covers all sectors, fields, and businesses where investments and operations are prohibited or restricted. On the other hand, the List is issued by the State Council to cover the whole country. If local governments need to make any specific adjustments, the provincial governments shall report to the State Council for approval.

The List includes two categories: prohibited and restricted market lists (禁止准入类事项和许可准入类事项), which corresponds to “three access approaches”. For the prohibited market list, market players are forbidden from engaging in these industries, fields, and businesses – whether it be in the form of investments, partnerships, or takeovers. For the restricted market list, market entities must apply to the relevant administrative organs as per the laws and regulations. Finally, for sectors outside of the list, market entities can access them on an equal footing in accordance with the law, without approval from the administrative organs (“非禁即入”).

“Connection with four other lists”: the List is closely connected with the list of items requiring administrative approval (行政审批事项清单), Catalog for Guidance of Industrial Restructuring (《产业结构调整指导目录》), Catalog of Investment Projects Subject to the Approval of Government (《政府核准的投资目录》), and Catalog of Internet Market Access Subject to the Approval of Government(《互联网市场准入禁止许可目录》).

For every list issued, there is one attachment: prohibitive rules related to market access(与市场准入相关的禁止性规定), which is the first item in prohibited lists - prohibitive rules stipulated by laws, regulations, and State Council decisions and related to market access (现有法律、法规、国务院决定等明确设立、且与市场主体投资经营活动密切相关的禁止性规定).

II What are the Differences Between Foreign Investment Negative List (外资准入负面清单) and Market Access Negative List (市场准入负面清单)?

On December 27, 2021, the Foreign Investment Negative List for 2021 was published, reducing the number of entries from 33 to 31 in the nationwide list, and from 30 to 27 in the pilot free trade zone list. In the manufacturing sector, it removes access limits in car making, the ground receiving facilities for satellite TV broadcasting and production of key components, and the JV requirement for market surveys. In the services sector, it removes the JV requirement for market surveys.

Maybe you are confused about the two lists. Here your host would like to highlight that in accordance with the Foreign Investment Law and its implementing rules (外商投资法及其实施条例), the Foreign Investment Negative List is merely targeted at foreign investors and foreign-invested enterprises (FIEs) must be subject to the Foreign Investment Negative List when investing in China. In contrast, the Market Access Negative List applies to all kinds of investment in China and does not distinguish between domestic and foreign investors (内外资一致原则), serving as an important component of national treatment. It can be well said that the latter serves as a complement to the former: all the industries outside of the foreign investment negative list shall be managed in line with the market access negative list.

III Timeline of China’s Market Access Negative List

一、Planning Period (2014-2015)

The system of Market Access Negative List can be traced back to July 8, 2014, when the State Council issued Opinions on Promoting Fair Market Competition and Maintaining the Normal Market Order (《国务院关于促进市场公平竞争维护市场正常秩序的若干意见》). The Opinions provided guiding principles for formulating a market access negative list and expanding market access. On October 19, 2015, the State Council issued the Opinion on Implementing the System of Market Access Negative List (《国务院关于实行市场准入负面清单制度的意见》) in accordance with the requirements of the Decision of the CPC Central Committee on Some Major Issues Concerning Comprehensively Deepening the Reform (《中共中央关于全面深化改革若干重大问题的决定》) to build a well-ordered and fair market environment. The Opinion marks the official implementation of the Market Access Negative List System.

二、Trial Period (2016-2017)

On May 8, 2016, the National Development and Reform Commission and the Ministry of Commerce jointly published the Notice on Issuing Draft Negative List for Market Access (Trial Version), comprising 328 items, including 96 items in the category of prohibited access, and 232 items in the category of restricted access. A pilot program for this Draft was firstly conducted in four provinces and municipalities directly under the Central Government, namely, Tianjin, Shanghai, Fujian, and Guangdong (《草案》先行在天津、上海、福建、广东四个省、直辖市进行试点). In 2017, the pilot program was expanded to 15 provinces and municipalities to accumulate more experience.

三、The 2018 Version

In 2018, the system of Market Access Negative List was expanded to the whole country. On December 25, 2018, China introduced the first Market Access Negative List, comprising 151 items, including 4 items in the category of prohibited access, and 147 items in the category of restricted access. Compared with the trial version, the List was significantly cut by 177 items. The four items in the category of prohibited access are: “products, technologies, processes, equipment and behaviors that are explicitly eliminated and restricted by the national industrial policy” (国家产业政策明令淘汰和限制的产品、技术、工艺、设备及行为), “carrying out financial-related business activities in violation of regulations” (禁止违规开展金融相关经营活动), “carrying out Internet-related business activities in violation of regulations” (禁止违规开展互联网相关经营活动) as well as “prohibitive rules stipulated by laws, regulations, and State Council decisions and related to market access” (法律、法规、国务院决定等). The restricted items cover a wide range of areas ranging from manufacturing and services sectors. There were two keywords in the 2018 version: fairness and dynamism. For fairness, it ensured that both state-owned enterprises (SOEs) and private businesses, both domestic and foreign-invested enterprises (FIEs), and micro-, small and medium-sized enterprises (MSMEs) could all have equal access to the vast Chinese market. For dynamism, a dynamic adjustment mechanism and a third-party evaluation mechanism for the market access negative list were expected to be established to promote the continuous expansion of market access and shortening of the negative list, thereby further energizing market entities.

四、The 2019 Version

On November 22, 2019, the Market Access Negative List for 2019 was published and shortened to 131 items, down by 20 administrative measures (including 5 items in the category of prohibited access, and 126 items in the category of restricted access). The added prohibited item was “development activities that do not meet the construction requirements of function zones” (不符合主体功能区建设要求的各类开发活动). The system of “one list for the whole country” (全国一张清单体系) was improved. The List included “Negative List for Industry Access of National Key Ecological Function Areas at Local Level and Major Agricultural Regions (or Catalogue for Prohibited and Restricted Access)” (地方国家重点生态功能区和农产品主产区产业准入负面清单（或禁止限制目录）), and removed 23 negative lists for market access compiled and released at local levels(各地区自行编制发布的市场准入类负面清单).

五、The 2020 Version

On December 16, 2020, the Market Access Negative List for 2020 was published, further shortened to 123 items, down by 8 (including 5 items in the category of prohibited access, and 118 items in the category of restricted access). The List included 152 prohibitive regulations. The deletion included 3 measures – “approval for evaluation projects of forest resource assets” (森林资源资产评估项目核准), “qualification accreditation of mining right appraisal agencies” (矿业权评估机构资质认定) and “qualification accreditation for verification institutions of carbon emissions right trading” (碳排放权交易核查机构资格认定); 14 administrative measures such as “examination and approval for qualifications for securities services of asset evaluation agencies” (资产评估机构从事证券服务业务资格审批), “approval for job qualifications of directors, supervisors and senior officers of securities companies” (证券公司董事、监事、高级管理人员任职资格核准), “licensing and registration of enterprises applying for customs declaration” (报关企业注册登记许可) and “inspection licensing for imported and exported commodities inspection and certification business” (进出口商品检验鉴定业务的检验许可). The establishment of financial holding companies(金融控股公司设立) was added to the list. It is also newly added that enterprises must pass qualification or project reviews to obtain land management rights (未获得许可或资质，不得超规模流转土地经营权).

六、The 2021 Draft Version

On October 8, the National Development and Reform Commission and the Ministry of Commerce jointly published a draft Market Access Negative List for 2021 to seek public opinions, down by 6 items to 117 items (including 6 items in the category of prohibited access, and 111 items in the category of restricted access). The number of prohibited rules was increased to comprise 157 items. “Cryptocurrency mining” (虚拟货币挖矿活动) was classified as an “eliminated” investment (“淘汰类”目录) in the Catalogue for Guidance of Industrial Restructuring (《产业结构调整指导目录》) because cryptocurrency mining consumes a great amount of energy and features high carbon emissions. But your host will not continue to discuss other specific changes in the draft version because it was never officially published. It is the 2022 version that invalidates the 2020 version.

As specified above, the Market Access Negative List for 2022 comprises 117 items, including 6 items in the category of prohibited access, and 111 items in the category of restricted access.
